BETWEEN THE UNDERSIGNED:
VOLTIFY, registered in the France Trade and Companies Register under SIREN number 949 180 913, whose registered office is located at 72 rue de la Folie-Méricourt 75011 Paris, hereinafter referred to as "GUIDED ENERGY" or "the Supplier",

Hereafter referred to as “the Customer”.
ON THE OTHER HAND
GUIDED ENERGY and the Customer are hereinafter referred to individually as "the Party" and collectively as "the Parties".
GUIDED ENERGY provides an all-in-one fleet and charge management platform to dispatch, charge and operate fleets of electric vehicles. The use of the platform requires collecting, aggregating and synchronizing data from the car manufacturers' computer servers. This data can then be processed through GUIDED ENERGY internal processes to provide value-added services. This platform is exclusively intended for professional use by companies owning or renting vehicles.
The Platform is composed of various computer tools allowing the reception, downloading, sharing, storage, free or paid provision, access, consultation, archiving of data transmitted by the vehicles through the information system of the vehicle manufacturers equipped with the appropriate communication hardware and software.
The Customer after having been able to test the services of the Platform has expressed his or her wish to benefit for his or her own use from the services of the Platform for internal use.
Prior to the signing of this contract, GUIDED ENERGY and the Client have been able to familiarize themselves with the conditions of GUIDED ENERGY, particularly with the technical and unit price conditions. These formed the starting point for the commercial negotiation which was conducted freely and in good faith between the Parties.
Consequently, the Customer chose to benefit from these services in accordance with the General Terms hereof.
Terms used in the body of these General Terms of Service beginning with a capital letter, whether used in the singular or plural, shall have the meaning set forth below.
"Access" or "User Account" means the account created for a "User" on the Platform. Access is created by means of a username and a password.
"Affiliate" means any person controlling or under the control of the Customer or under common control with the Customer. Control has the meaning given to it under Article L-233-3 of the French Commercial Code, as well as its franchisees under French law.
"Purchase order" means the purchase order which indicates the number of Vehicles as well as any options chosen and more generally the services ordered by the Customer as well as the relevant prices in accordance with the pricing conditions.
"Customer" means the undersigned company.
"Manufacturer" means an automobile manufacturer or telematics data provider.
